1. SCOPE AND UPDATES TO THIS NOTICE

Scope. This Notice applies to all personal information processed by Eyconis. We may provide additional privacy notices to individuals when we collect their personal information. For example, we may provide a specific privacy notice to clinical trial participants describing our privacy practices in connection with conducting clinical trials or when you submit your information for recruitment for a job at Eyconis. These additional privacy notices may supplement this Notice or may apply in lieu of this Notice.

Updates to our Notice. We may revise this Notice from time to time. If we do, we will let you know by posting the updated Notice on our website. If there are material changes to the revised Notice, we will notify you as required by applicable law.

2. PERSONAL INFORMATION WE COLLECT

We collect personal information you provide to us, personal information we collect automatically when you use the Services, and personal information from third-party sources, as described below.

A.    Personal Information You Provide to Us Directly

We may collect personal information you provide to us in various ways.

  • Engagement with Our Services. We may collect personal information in connection with your engagement with our Services.
  • Healthcare Professionals. If you are a healthcare professional, we may collect personal information such as your professional contact information, credential and institutional affiliations information, information about our programs and activities in which you have participated, information about our interactions with you, information about your published papers, your photograph, information about your prescribing of our products and services, and information contained in agreements executed with us.
  • Clinical Trial Participants. If you participate in clinical trials we sponsor, our clinical trial sites may collect personal information relevant to your participation in clinical trials. Please note the clinical trial site may be a separate “controller” or “business” of your personal information and your personal information may be subject to the clinical trial site’s Notice. We collect personal information about you from clinical trial sites only where you have provided your consent to disclose such information to us or as required by law.
  • Reporting Adverse Experiences. If you contact us to report a potential issue, concern, or complaint related to an adverse experience potentially related to a clinical trial we sponsor (an “Adverse Experience”), we are required to collect certain information, including potentially sensitive personal information about the health and habits of the person about whom the Adverse Experience relates.
  • Your Communications with Us. We may collect personal information, such as email address, phone number, or mailing address if you request information about our company or our product development activities or to otherwise communicate with us.
  • Conferences, Trade Shows, and Other Events. To the extent we attend or host conferences, trade shows, and other events, we may collect personal information from or about you and other event registrants. 
  • Business Development and Strategic Partnerships. We may collect personal information from individuals and third parties to assess and pursue potential business opportunities and strategic partnerships.
  • Job Applications. If you respond to a posting for an Eyconis job or other opportunity, we may collect your personal information, such as information contained in your application, CV, cover letter, and/or any other information you provide to us. Please note if you are hired by us, your personal information may be governed by a separate worker privacy notice.

B. Personal Information Collected Automatically

We may collect personal information automatically when you use the Services.

  • Device Information. We may collect personal information about your device, such as your Internet protocol (IP) address, user settings, cookie identifiers, other unique identifiers, browser or device information, Internet service provider, and location information (including, as applicable, approximate location derived from IP address and precise geo-location information).  
  • Usage Information. We may collect personal information about your use of the Services, such as the pages that you visit, items for which you search, types of content with which you interact, information about the links you click, the frequency and duration of your activities, and other information about how you use the Services.
  • Cookies and Other Tracking Technologies. We, as well as third parties providing content, or other functionality on our Site, may use cookies, pixel tags, and other technologies (“Technologies”) to automatically collect information through your use of our Site. 
  • Cookies. Cookies are small text files placed in device browsers that store preferences and facilitate and enhance your experience.
  • Pixel Tags/Web Beacons. A pixel tag (also known as a web beacon) is a piece of code that collects information about engagement on our website. The use of a pixel tag allows us to record, for example, that a user has visited a particular web page or clicked on a particular advertisement. We may also include web beacons in e-mails to understand whether messages have been opened, acted on, or forwarded.

C.    Personal Information Collected from Other Sources

We may collect personal information about you from third parties.  

For example, if you access the Services using a third-party service (such as www.clinicaltrials.gov), we may collect personal information about you from that third-party service you have made available via your privacy settings. In addition, users of the Services may upload or otherwise provide personal information about others.

3. HOW WE USE YOUR PERSONAL INFORMATION

We use personal information for a variety of business purposes, including to provide the Services, for administrative purposes, and to provide you with marketing materials, as described below.

A.    Support our Product Development Activities and Site

We use personal information to fulfill our contract with you and provide the Services, such as:

  • Managing your information;
  • Providing access to certain areas, functionalities, and features of the Services;
  • Answering requests for support; 
  • Communicating with you;
  • Sharing personal information with third parties as needed to provide the Services;
  • Processing your financial information and other payment methods for products and Services purchased;
  • Processing applications if you apply for a job or other opportunity; and
  • Allowing you to register for events.

B. Administrative Purposes

We may use your personal information for various administrative purposes, such as:

  • Pursuing our legitimate interests such as direct marketing, research and development (including marketing research), and fraud prevention;
  • Detecting security incidents, protecting against malicious, deceptive, fraudulent or illegal activity, and prosecuting those responsible for that activity;
  • Carrying out analytics;
  • Measuring interest and engagement in the Services;
  • Improving, upgrading, or enhancing the Services;
  • Developing new products and services;
  • Creating de-identified and/or aggregated information. If we create or receive de-identified information, we will not attempt to reidentify such information, unless permitted by, or required to comply with, applicable laws;
  • Ensuring internal quality control and safety;
  • Authenticating and verifying individual identities, including requests to exercise your rights under this Privacy Notice;
  • Debugging to identify and repair errors with the Services;
  • Auditing relating to interactions, transactions, and other compliance activities;
  • Enforcing our agreements and policies; and
  • Carrying out activities that are required to comply with our legal obligations.

C. Marketing

We may use personal information to tailor and provide you with marketing and other content. We may provide you with these materials as permitted by applicable law. Some of our marketing activities may be considered a “sale” or “targeted advertising” under applicable privacy laws.


California Shine the Light. If you are a California resident and have provided personal information to us, you are entitled by California law to request information once per calendar year regarding certain categories of personal information we shared with third parties for their direct marketing purposes in the past calendar year. Please note if we create or receive de-identified information, we will not attempt to reidentify such information, except to comply with applicable law.

4. HOW WE DISCLOSE YOUR PERSONAL INFORMATION

We disclose your personal information to third parties for a variety of business purposes, including to provide our services, to protect us or others, or in the event of a major business transaction such as a merger, sale, or asset transfer, as described below.

A. Disclosures to Provide our Services and Conduct Product Development Activities

The categories of third parties with whom we may share your personal information are described below.

  • Clinical Research Organizations. If you participate in clinical trials and research, the clinical trial sites may disclose personal information you provide in conjunction with your participation to the Clinical Research Organization (“CRO”) engaged to manage the research and/or conduct the clinical trial. We endeavor not to collect clinical trial participant personal information directly and all personal information we receive from CROs about clinical trial participants is de-identified or pseudonymized unless an exception applies.
  • Service Providers. We may share your personal information with our service providers including vendors assisting us with the provision of our Services and product development activities. For example, service providers and vendors may provide us with IT support, hosting, research and development, payment processing, customer service, and related services.
  • Business Partners. We may share your personal information with business partners to provide you with a product or service you have requested. We may also share your personal information with business partners with whom we jointly offer products or services.
  • Advertising Partners. We may share your personal information with third-party advertising partners. These third-party advertising partners may set Technologies and other tracking tools on our Services to collect information regarding your activities and your device (e.g., your IP address, cookie identifiers, page(s) visited, location, time of day). These advertising partners may use this information (and similar information collected from other services) for purposes of delivering personalized advertisements to you when you visit digital properties within their networks. This practice is commonly referred to as “interest-based advertising”, “personalized advertising”, or “targeted advertising.”
  • Affiliates. We may share your personal information with our corporate affiliates.

B. Disclosures to Protect Us or Others

We may access, preserve, and disclose any personal information we store associated with you to external parties if we, in good faith, believe doing so is required or appropriate to: comply with law enforcement or national security requests and legal process, such as a court order or subpoena; protect your, our, or others’ rights, property, or safety; enforce our policies or contracts; collect amounts owed to us; or assist with an investigation or prosecution of suspected or actual illegal activity. We will also disclose personal information in conjunction with our duty to report Adverse Experiences reported to or discovered by us to relevant oversight authorities.

C. Disclosure in the Event of Merger, Sale, or Other Asset Transfers

If we are involved in an actual or proposed merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, purchase or sale of assets, or transition of service to another provider, your personal information may be disclosed, sold, or transferred as part of such a transaction, as permitted by law and/or contract.

5. YOUR PRIVACY CHOICES AND RIGHTS

Your Privacy Choices. The privacy choices related to your personal information are determined by applicable law and are described below.

  • Email Communications. If you receive an unwanted promotional email from us, you may use the “unsubscribe” link found at the bottom of the email to opt out of receiving future promotional emails. Note you may not be able to opt out of non-promotional communications (e.g., communications regarding our Services or updates to our legal terms or this Notice).
  • Text/SMS Messages. If you receive an unwanted promotional text/SMS message from us, you may opt out of receiving future promotional text messages from us by following the instructions in the text message you received from us or by otherwise contacting us as set forth in “Contact Us” below.
  • Cookies. You may stop or restrict the placement of Technologies on your device or remove them by adjusting your preferences as your browser or device permits. However, if you adjust your preferences, the Services may not work properly.

Please note that cookie-based opt-outs are not effective on mobile applications. However, you may opt-out of certain tracking on some mobile applications by following the instructions for Android, iOS, and others.

  • Do Not Track” / “Global Privacy Control.” Do Not Track (“DNT”) is a privacy preference users may set in certain web browsers. Additionally, some browsers or plug-ins use a “Global Privacy Control” (“GPC”), which you may learn more about at https://globalprivacycontrol.org/. Please note we do not respond to or honor DNT or GPC signals or similar mechanisms transmitted by web browsers unless required by applicable law.

Your Privacy Rights. In accordance with applicable law, you may have the right to request:

  • Confirmation as to Whether We Are Processing Your Personal Information; 
  • Access to or Portability of Your Personal Information;
  • Correction of Your Personal Information;
  • Deletion, Anonymization, or Blocking of Your Personal Information;
  • Restriction of or Object to our Processing of Your Personal Information; and
  • Information About Third Parties to Which Your Personal Information Has Been Shared; and
  • Withdrawal of Your Consent to our Processing of Your Personal Information. Please note that your withdrawal will only take effect for future processing and will not affect the lawfulness of processing before the withdrawal.

Only you, or someone legally authorized to act on your behalf in certain jurisdictions, may make a request to exercise the rights listed above regarding your personal information. If your personal information is subject to a law allowing an authorized agent to act on your behalf in exercising your privacy rights and you wish to designate an authorized agent, please provide written authorization signed by you and your designated agent using the information found in “Contact Us” below and ask us for additional instructions.

To protect your privacy, we will take steps to verify your identity before fulfilling requests submitted under applicable privacy laws. These steps may involve asking you to provide sufficient information allowing us to reasonably verify you are the person about whom we collected personal information or an authorized representative. Examples of our verification process may include asking you to confirm the email address we have associated with you.

Some laws may allow you to appeal our decision if we decline to process your request. If applicable laws grant you an appeal right and you would like to appeal our decision with respect to your request, you may do so by contacting us as set forth in “Contact Us” below and providing us with information supporting your appeal.

6. SECURITY OF YOUR INFORMATION

We take steps to ensure that your information is treated securely and in accordance with this Notice. Unfortunately, no system is 100% secure and we cannot ensure or warrant the security of any information you provide to us. To the fullest extent permitted by applicable law, we do not accept liability for unauthorized access, use, disclosure, or loss of personal information.

By providing personal information to us, you agree we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Services. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on our Site, by mail, or by sending an email to you.

7. INTERNATIONAL DATA TRANSFERS

All personal information processed by us may be transferred, processed, and stored anywhere in the world, including, but not limited to, the United States or other countries that may not have equivalent data protection laws. These countries may or may not have adequate data protection laws as defined by the data protection authority in your country.

If we transfer personal information from the European Economic Area, Switzerland, and/or the United Kingdom to a country that does not provide an adequate level of protection under applicable data protection laws, one of the safeguards we may use to support such transfer is the EU Standard Contractual Clauses.

8. RETENTION OF PERSONAL INFORMATION

We store the personal information we collect as described in this Notice for as long as you use the Services, or as necessary to fulfill the purpose(s) for which it was collected, provide the Services, resolve disputes, establish legal defenses, conduct audits, pursue legitimate business purposes, enforce our agreements, and comply with applicable laws.  

To determine the appropriate retention period for personal information, we may consider applicable legal requirements, the amount, nature, and sensitivity of the personal information, certain risk factors, the purposes for which we process your personal information, and whether we can achieve those purposes through other means.

The Services are not directed to children under 16 (or other age as required by local law outside the United States), and we do not knowingly collect personal information from children.

Our website may contain links to other websites/applications and other websites/applications may reference or link to our website. These third-party services are not controlled by us. We encourage our users to read the privacy policies of each website and application with which they interact. We do not endorse, screen, or approve, and are not responsible for, the privacy practices or content of such other websites or applications. Providing personal information to third-party websites or applications is at your own risk.
